These Terms of Service ("Terms") govern your use of the website, services, and products provided by Intonation Labs Pte. Ltd. (UEN: 202607645W), a company registered in Singapore ("we", "us", "our"). By engaging our services or using our website, you agree to these Terms.
By accessing our website at www.intonationlabs.com, submitting a contact form, engaging our consulting services, attending our workshops, or using any of our SaaS platforms (IntonationAI, IntoMeeting, IntoMarketing), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity.
Intonation Labs provides the following services:
Subscriptions to our SaaS platforms (IntonationAI, IntoMeeting, IntoMarketing) automatically renew at the end of each billing cycle unless cancelled. Billing cycles are monthly or annual, as selected at the time of purchase. Where applicable, prorated charges may apply when upgrading or changing plans mid-cycle.
You may cancel your subscription at any time. Upon cancellation, you will retain access to the platform until the end of your current billing period. No partial refunds are provided for unused time within a billing period.
Certain platforms (IntoMeeting, IntoMarketing) offer free tiers subject to usage limits. We reserve the right to modify free tier features, quotas, or availability with 30 days' prior notice to affected users.
Content generated by our AI tools (including IntoMarketing and IntoMeeting) is provided "as is." Users are solely responsible for reviewing, verifying, and approving all AI-generated content before publishing, distributing, or acting upon it. Intonation Labs does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
Users retain full ownership of all data they upload to our platforms, including but not limited to brand documents, knowledge base files, and meeting recordings. AI-generated outputs that are based on user-provided data belong to the user. Intonation Labs does not claim ownership of user content or AI-generated outputs derived from user data.
Access to our APIs is subject to rate limits and fair use policies as published in our API documentation. API keys are confidential, non-transferable, and must not be shared with unauthorised parties. Integration partners and third-party developers using our APIs must comply with all applicable data protection requirements and these Terms.
All consulting engagements begin with a discovery call and are formalised through a written proposal or statement of work ("SOW") that specifies scope, deliverables, timeline, and pricing. Work commences only upon written acceptance of the proposal by both parties.
We primarily operate on fixed-price, project-based engagements. The agreed price covers all deliverables specified in the SOW. Any work outside the agreed scope requires a written change order with revised pricing.
Unless otherwise specified in the SOW:
Workshop registration is confirmed upon receipt of payment. Cancellations made more than 7 days before the workshop date are eligible for a full refund. Cancellations within 7 days may be transferred to a future session at no additional cost.
Upon full payment, the client receives ownership of all custom code, models, and documentation produced specifically for the engagement as outlined in the SOW, unless otherwise agreed in writing.
Intonation Labs retains ownership of all pre-existing intellectual property, frameworks, tools, libraries, and methodologies used in the delivery of services. Where pre-existing IP is incorporated into client deliverables, the client receives a perpetual, non-exclusive licence to use such IP within the scope of the project.
Nothing in these Terms restricts Intonation Labs from using general knowledge, skills, experience, and techniques acquired during an engagement, provided that no confidential information is disclosed.
Both parties agree to treat as confidential all non-public information exchanged during the engagement, including but not limited to business strategies, technical architectures, datasets, and proprietary algorithms. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
Confidentiality obligations survive the termination of the engagement for a period of 2 years.
We process personal data in accordance with our Privacy Policy and the Personal Data Protection Act 2012 (PDPA) of Singapore. For consulting engagements involving client data, data handling responsibilities will be specified in the SOW or a separate Data Processing Agreement.
To the maximum extent permitted by Singapore law:
We warrant that our services will be performed with reasonable skill and care consistent with industry standards. We do not guarantee specific business outcomes, revenue increases, or performance metrics unless explicitly stated in the SOW.
Our SaaS platforms (IntonationAI, IntoMeeting, IntoMarketing) are provided "as is" and "as available" without warranties of any kind, except as expressly stated in the applicable subscription agreement.
Either party may terminate an engagement with 14 days' written notice. Upon termination:
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
The parties agree to attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms. For active engagements, material changes will be communicated directly.
